The Role
We are seeking an experienced Deal Counsel to join our legal team as we continue to scale and grow. This role will report to the General Counsel of Venture and Growth and will work with the legal team and other functions to provide support on a wide range of matters. These include assisting with negotiating transactions and conducting due diligence, coordinating with other a16z teams to close deals, and working with portfolio companies on legal matters.

- Assist the Venture/Growth legal team with the negotiation and structuring investment transactions across the funds it supports – AI Apps, AI Infrastructure, American Dynamism, Games, and Growth
- Conduct legal and regulatory diligence on potential investments
- Coordinate deal processes within the firm among the investing teams, finance team and operating groups
- Support investing team and portfolio companies on legal matters – reviewing Board and stockholder consents, evaluating deal structures, and providing counsel on governance and novel legal and regulatory fields
- Assist with securities law matters, including ongoing SEC filings and reporting
- Help coordinate exit and sale activities with internal teams, including reviewing and negotiating M&A transactions of portfolio companies
- Maintain and improve internal documentation processes for the legal team
- Build and cultivate a network of in-house counsels and law firms
- Participate in industry and network events
Minimum Qualifications
- BA or BS from an undergraduate institution. JD from an accredited law school. Membership in CA state bar
- 2-3+ years of experience working as an attorney counseling technology and other high-growth clients in venture capital transactions at a law firm. Am Law 100 experience a plus
- Strong analytical and problem-solving skills
- Meticulous attention to detail with strong written and verbal communication skills
- Ability to work within tight deadlines and within a team environment
- Low ego, high empathy, and the capacity to collaborate effectively with diverse teams
- Expected to work out of the Menlo Park office on a hybrid schedule
The anticipated salary range for this role is between $302,000 – $352,000, actual starting pay may vary based on a range of factors which can include experience, skills, and scope.
This role is eligible to participate in the a16z carry program and various discretionary bonus programs as well as benefit and perquisite plans including health, dental, vision, disability, life insurance, 401K plan, vacation, and sick leave.
